Partner Agreement

This Partner Agreement ("Agreement") governs your participation in the Erudyte Partner Program operated by Erudtion, Inc. ("Erudyte", "we", "us"). By applying to or participating in the Partner Program, you agree to be bound by the terms of this Agreement.

1. Purpose and Scope

This Agreement establishes the terms under which you ("Partner") may develop, distribute, and collaborate with Erudyte as part of our partner ecosystem. The Partner Program enables organizations to integrate, extend, and co-market alongside Erudyte's platform to expand STEM education access for English learners and neurodiverse students.

2. Partner Tiers

The Erudyte App Partner Program operates under three tiers:

• ⚛️ Starter, For emerging EdTech solutions entering the Erudyte ecosystem. Access the app directory, basic integration documentation, and educator community.
• ⚛️ Knowledge Connectors, A tier for partners who seamlessly integrate and connect their resources within Erudyte, creating pathways for shared knowledge.
• ⚛️ Impact Innovators, A premium tier for partners who go above and beyond, innovating impactful solutions and elevating user engagement through deeper collaboration with Erudyte.

Upon application, Erudyte will review your submission and notify you of your acceptance. If you are not accepted within 90 days, your application is considered rejected. The terms herein apply upon acceptance into the program.

3. Definitions

• ⚜️ App, The software developed by you for integration with Erudyte.
• ⚜️ Partner Program, The collaborative program enabling development, distribution, and monetization of apps through Erudyte.
• ⚜️ Partner, An organization or individual accepted into the Erudyte Partner Program.
• ⚜️ Erudyte Platform, The educational technology platform operated by Erudtion, Inc.

4. Eligibility and Requirements

To participate in the Partner Program, you must:

• Be a legally operating entity or individual with authority to enter this Agreement
• Comply with all applicable laws, regulations, and Erudyte policies
• Maintain the quality standards required for the partner tier you operate within
• Not engage in any activity that could harm Erudyte's reputation or user trust

5. Partnership Obligations

Erudtion Inc. will provide resources, support, documentation, and branding materials to facilitate integration. As a Partner, you agree to:

• Integrate the App according to Erudyte's published guidelines and API specifications
• Maintain the quality standards expected of your partner tier
• Comply with all program policies and updates as they are published
• Provide technical support to users of your integration and ensure proper documentation
• Submit apps for review and obtain approval before publishing updates that affect core functionality
• Not misrepresent your relationship with Erudyte in any marketing or communications

6. Intellectual Property

Each party retains ownership of its own intellectual property. Erudyte grants Partners a limited, non-exclusive license to use Erudyte's branding and API solely for purposes of the Partner Program. Partners grant Erudyte a limited license to list, describe, and promote their integration within Erudyte's platform and partner directory.

7. Revenue Sharing

Revenue sharing terms are specified in the Partner Program documentation provided at acceptance. Tier-specific commission rates, payment schedules, and reporting requirements are detailed in your Partner Dashboard. Erudyte reserves the right to modify revenue sharing terms with 30 days' written notice.

8. Termination

Either party may terminate this Agreement with 30 days' written notice. Erudyte may terminate immediately if a Partner violates this Agreement, engages in fraudulent activity, or causes harm to Erudyte's users or platform. Upon termination, Partner must cease use of Erudyte's branding and API access will be revoked.

9. Limitation of Liability

To the maximum extent permitted by law, Erudyte shall not be liable for any indirect, incidental, special, or consequential damages arising from your participation in the Partner Program. Erudyte's total liability to you shall not exceed the amounts paid to you under this Agreement in the three months preceding the claim.

10. Governing Law

This Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
